These Terms of Use set out the terms on which you may make use of our website (the “Site”), whether as a guest or a registered user. Please read these Terms of Use carefully before you start to use the Site. By using the Site, you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, you should immediately stop using the Site.

This Site is owned and operated by TGraffi Ltd, 36 Crown Rise, Watford, Hertfordshire, WD25 0NE (“TGraffi”, “us” or “we”)

Access to the site and registration

Access to the Site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Site without notice. We will not be liable if for any reason the Site or any part of it is unavailable at any time or for any period.

You are responsible for making all arrangements necessary for you to have access to the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these terms, and that they comply with them.

In consideration of your use of the Site, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site; (b) maintain the security of your password and identification; (c) maintain and promptly update your information, and any other information you provide to us, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

We have the right to disable or suspend any user account at any time and disable or suspend your access to the Site, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.

Intellectual property rights

We and our affiliates are the owners or licensees of all intellectual property rights in the Site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page(s) from the Site for your personal reference and you may draw the attention of others within your organisation to material posted on the Site.

You must not modify any copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, audiovisual content or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of material on the Site must always be acknowledged.

You must not use the Site or any part of the materials on the Site for commercial purposes without obtaining permission from us to do so.

If you print off, copy or download any part of the Site in breach of these Terms of Use, your right to use the Site will end immediately and you must return or destroy (at our option) any copies of the materials you have made.

Submitting designs

Users of the Site are able to submit designs, logos and/or wording to be reproduced on t-shirts or other items by TGraffi (each a “User Design”). By submitting a User Design you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the User Design for the purpose of printing it on the t-shirts or other items requested by you, as well as on our website throughout the world. You also waive all moral rights you may have in respect of the User Design.

You are not entitled to submit any User Design which is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable.

You grant us the right to disclose your identity to any third party who is claiming that any User Design submitted by you constitutes a violation of their intellectual property rights, or their right of privacy. You represent and warrant that you own or otherwise control all of the rights to any User Design which you submit; and that use of any such User Design does not violate this policy and will not cause injury to any person or entity. You will indemnify TGraffi and its affiliates fully for all claims relating to a User Design which you submit.

To the extent permissible by law, we take no responsibility and assume no liability for any User Design submitted by a user of the TGraffi service.

Other user generated content

Users who have registered with the Site may post comments or other content where allowed (collectively, “Content”) provided that the posting of the Content, and anything contained within the Content, is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of any Content.

If you do post or upload Content, and unless we indicate otherwise, we will be entitled to treat the Content as non-confidential and you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the Content throughout the world in any form of media. You grant us and our sublicensees the right (at our discretion) to use the name that you submit in connection with the Content. You grant us the right to disclose your identity to any third party who is claiming that any Content posted or uploaded by you to the Site constitutes a violation of their intellectual property rights, or of their right to privacy. You represent and warrant that you own or otherwise control all of the rights to the Content that you post; that the Content is accurate; and that use of the Content you supply does not violate this policy and will not cause injury to any person or entity. You will indemnify TGraffi and its affiliates fully for all claims relating to the Content you provide.

We have the right but not the obligation to monitor and edit or remove (at its absolute discretion) any Content. To the extent permissible by law, we take no responsibility and assume no liability for any Content posted by users or any third party on its site.

TGraffi respects the rights of others. If you believe that any content on the Site (including without limitation User Designs or Content) infringes your rights (e.g. your work has been copied in a way that constitutes copyright infringement), please contact us.

Materials or comments posted on the Site, whether by us or third parties, are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the Site, or by anyone who may be informed of any of its contents.

Liability

We and our affiliates hereby expressly exclude, to the fullest extent permitted by applicable law (if at all):

• All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
• Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Site or in connection with the use, inability to use, or results of the use of the Site, any websites linked to it and any materials posted on it, including, without limitation liability for any of the following:
• loss of income or revenue;

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. TGraffi reserves the right to report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.

Links to the site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. The Site must not be framed on any other site, nor may you create a link to any part of the Site other than the home page. TGraffi reserves the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the standards set out in these Terms of Use.

TGraffi has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

Governing law

The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.

Entire agreement

These Terms of Use, together with the Privacy Policy, set out the whole of our agreement relating to your use of the Site. Any orders made on the Site will also be governed by our Terms and Conditions of Sale. These Terms of Use can only be changed by us. From time to time, we may make changes to the Terms of Use. Any such changes will be posted on this page.
